DBate Social Media Manager Partnership Agreement

This Social Media Manager Partnership Agreement ("Agreement") is entered into between DBate, operated under Mylite LLC ("Company"), and Social Media Manager ("Manager"). By participating in the DBate Manager Program, Manager agrees to the following terms.

1. Purpose

The purpose of this Agreement is to establish a performance-based partnership in which the Manager assists the Company in identifying, onboarding, and coordinating qualified influencers for DBate's affiliate program.

This Agreement does not create an employment relationship, partnership, joint venture, or agency relationship.

2. Independent Contractor Status

Manager is an independent contractor and not an employee of the Company.

Manager is not entitled to:

  • salary or wages
  • employee benefits
  • equity or ownership
  • guaranteed compensation

Compensation is commission-based only.

3. Scope of Role

Manager's responsibilities include:

  • identifying creators aligned with DBate's values
  • conducting outreach in a professional manner
  • facilitating influencer onboarding through Company-approved processes
  • helping maintain creator quality standards

Managers assist with introductions and coordination only.

Managers do not represent the Company and do not have authority to bind, negotiate, or speak on behalf of DBate.

4. Influencer Assignment & Exclusivity

  • Each influencer may work with only one (1) DBate manager at a time.
  • Managers must coordinate influencer onboarding through the Company.
  • Influencers may be reassigned only if the influencer requests reassignment and the Company approves.
  • Final assignment decisions remain at the Company's discretion.

5. Onboarding & Tracking Process

During early program stages:

  • Managers will notify the Company when an influencer agrees to join.
  • The Company will provide the appropriate referral link or onboarding access.

In the future, a manager dashboard or automated link-generation system may be introduced, but is not guaranteed.

Attribution is tracked using internal systems and Company-maintained records.

6. Attribution & Discretion

Because attribution may be affected by platform limitations, privacy settings, or user behavior, accurate tracking cannot be guaranteed in all cases.

If attribution disputes arise, the Company may review the situation and make discretionary adjustments in good faith.

All attribution decisions are final.

7. Commission Structure

Manager earns 20% of earnings generated by influencers they personally onboard, during the applicable attribution period.

Earnings are calculated as: revenue actually received by the Company after payment processing fees (such as Stripe fees).

Managers earn commission only when their assigned influencers generate earnings.

8. Commission Duration

Commission applies only during the same two (2) month attribution window used for influencer payouts.

If an influencer generates earnings during that window, the Manager is eligible for commission.

No earnings are generated outside this window.

9. Payments

  • Payouts occur monthly
  • Minimum payout threshold: $25
  • Earnings below the threshold roll over to the following month

No guaranteed earnings are implied.

10. Communication & Representation Limits

Manager may not:

  • promise or imply guaranteed earnings
  • interpret contracts or payment calculations
  • modify program terms
  • represent themselves as an employee or official representative of the Company
  • provide financial, legal, or contractual explanations on behalf of DBate

Managers must use Company-approved templates, outlines, and materials when communicating with influencers.

Questions regarding payouts, terms, or disputes must be directed to the Company.

11. Program Modification Rights

The Company reserves the right to:

  • modify commission structures
  • update program terms
  • introduce tiers or role changes
  • pause or discontinue the manager program

Reasonable notice will be provided when material changes occur.

12. Termination

Either party may terminate this Agreement at any time.

Upon termination:

  • Manager's participation ends immediately
  • Commission eligibility stops immediately
  • No future earnings accrue after termination

Valid earnings generated prior to termination remain payable.

13. Ownership

All DBate intellectual property remains solely owned by the Company.

This Agreement does not grant ownership, equity, or decision-making authority.

By participating in the DBate Manager Program, Manager acknowledges and agrees to all terms outlined above.
