DBate Influencer Partnership Agreement

This Influencer Partnership Agreement ("Agreement") is entered into between DBate, operated under Mylite LLC ("Company"), and Influencer ("Partner"). By participating in the DBate Affiliate Program, Partner agrees to the following terms.
1. Purpose
The purpose of this Agreement is to establish a promotional partnership in which the Partner promotes the DBate mobile application in exchange for a performance-based revenue share.
This Agreement does not create an employment relationship, partnership, joint venture, or agency relationship.
2. Independent Contractor Relationship
Partner is an independent contractor and is not an employee of the Company.
Partner is not entitled to:
- wages or salary
- employee benefits
- equity or ownership
- guaranteed compensation
All earnings are performance-based only.
3. Role & Responsibilities
Partner agrees to:
- Create original short-form content promoting DBate
- Share a unique affiliate referral link provided by the Company
- Represent DBate accurately and in good faith
- Encourage genuine and authentic user engagement
There is no required minimum number of posts.
Earnings are directly tied to performance and user activity generated through Partner's promotional efforts.
4. Content Guidelines
All promotional content must:
- Be respectful and appropriate
- Avoid hate speech, harassment, or discrimination
- Avoid misinformation or deceptive claims
- Align with DBate's mission and values
DBate promotes:
- respectful discourse
- curiosity over conflict
- freedom of thought
- community-first discussion
- integrity and accountability
The Company reserves the right to remove Partners who materially violate these principles.
5. Use of Content Formats
Partner is permitted and encouraged to:
- Use trending short-form content formats
- Adapt proven content structures
- Recreate general concepts with a DBate-specific approach
Direct copying of other creators' content is not permitted.
The Company may optionally provide templates, examples, or guidance.
6. Affiliate Tracking & Attribution
- Partner will receive a unique referral link
- Users who sign up through this link will be attributed to Partner when technically possible
- Attribution applies for up to two (2) months from a user's registration date
- The Company uses internal tracking systems to attribute referrals
Because tracking may be affected by device settings, privacy restrictions, or platform limitations, attribution cannot be guaranteed in every instance.
If Partner reasonably believes legitimate referrals were not properly tracked, the Company may, at its discretion, manually review and adjust attribution in good faith.
7. Revenue Share Structure
Partner earns 50% of net revenue generated by users attributed to their referral link during the applicable attribution period.
Net revenue is defined as: revenue actually received by the Company after payment processing fees (such as Stripe fees).
The Company does not deduct internal operating expenses, salaries, or unrelated business costs when calculating Partner earnings.
Revenue calculations are determined using the Company's internal records.
8. Payments
- Payouts occur monthly
- Minimum payout threshold: $25
- Earnings below the threshold roll over to the following month
- Payments are made via the method designated by the Company
No guaranteed earnings are implied.
9. Reporting & Transparency
During early program stages, earnings summaries may be provided through screenshots or written payout statements.
A dedicated affiliate dashboard may be introduced in the future but is not guaranteed at this time.
10. Content Usage Rights
Partner grants the Company a non-exclusive, royalty-free, worldwide license to:
- repost Partner content
- use content in advertisements
- publish content on Company-owned platforms
- use content for marketing and promotional purposes
These rights survive termination of this Agreement.
11. Term & Attribution Period
- Revenue share applies for up to two (2) months per referred user
- This Agreement does not automatically renew
- Continued participation may be offered at the Company's discretion
12. Termination
The Company may terminate this Agreement at any time for:
- misconduct
- misinformation
- violation of platform rules
- behavior causing material harm to the DBate brand
Upon termination:
- Partner will no longer earn new referral revenue
- Valid earnings accrued prior to termination remain payable
13. Limitation of Liability
The Company is not responsible for:
- changes in advertising rates
- algorithm changes on social platforms
- fluctuations in revenue
- loss of anticipated earnings
14. Ownership
All intellectual property related to DBate remains the sole property of the Company.
This Agreement does not grant ownership, equity, or decision-making authority.
By participating in the DBate Influencer Program, Partner acknowledges and agrees to all terms outlined above.
